Gray Smith is a Partner and Local Team Leader of the Funds and Investment Services Team within the Corporate and Commercial Group. Originally qualifying in England, he practises both Cayman Islands and BVI law, having 12 years experience in advising on Cayman legal matters, specialising in all aspects of investment funds.
He graduated from Oxford University and trained with Travers Smith in the City of London, before qualifying in 1990. In 1996 Gray moved to Hong Kong where he remained for five years, joining a major Cayman Islands law firm. After a period in Cayman, Gray returned to London where he was latterly the managing partner of the London office of a major offshore law firm, before joining Appleby.
Gray’s extensive experience covers all aspects of company and commercial law with an emphasis on investment funds. Gray has acted on the establishment of innumerable private equity and hedge funds including some of the largest names in the industries. More recently Gray has advised many funds with regard to issues concerning redemptions, liquidations and litigation-related issues. He was adviser to one of the world’s largest hedge funds in its early restructuring to facilitate redemptions while maintaining the viability of the fund. Subsequently he was instructed on a significant number of such proposals.
Representative Work
• Establishment of a permanent capital fund raising over $1billion at launch;
• Establishment and structuring of a large range of hedge funds, across all strategies and net asset values;
• Formation of private equity funds investing into, as well as raising capital in Russia;
• Assisting in the listing of funds and other entities on Cayman, Channel Islands, and Irish Stock Exchanges as well as NASDAQ and Euronext;
• Structuring and formation of Cayman fund investing tax-efficiently into India;
• Formation and listing on NASDAQ of major investment and operating entities in Asia.
